Paralegal The candidate supports attorneys in preparing and filing periodic reports with the Securities and Exchange Commission, including 10-Ks, 10-Qs and 8-Ks. Supports firm’s annual proxy statement and annual meeting process, including interfacing with our Finance, HR and other internal teams, proxy solicitors, printers and other internal process partners. Supports our attorneys in preparing and maintaining board records, including assembling board and committee packages, maintaining board and committee annual task schedules, and assists in coordinating meeting agendas. Assists our attorneys in maintaining and updating internal corporate governance policies and rolling-out compliance practices and training for our internal colleagues. Coordinate accrual and payment of board fees, including annual review of 1099s. Assists with the preparation and collection of the annual D&O questionnaires. Manages recordkeeping and annual compliance for our many subsidiaries, including maintaining stock registers, corporate resolutions and other documents. Assists the preparation of subsidiary corporate resolutions and filings. Assist attorneys with the formation and dissolution of subsidiaries in various state and international jurisdictions. Supports internal corporate restructuring initiatives, including subsidiary rationalization. Assists with internal and external due diligence for corporate transactions, including assistance with data rooms and acquisition integration efforts. Supports equity administration both internally and for customers, when needed. Supports NYSE reporting compliance program by assisting with the preparation and filing of annual, periodic and other extraordinary reporting processes. Interfaces with our executive team and licensing team and serves as a back-up notary for periodic filing requirements. Supports firm’s stock administration group by assisting with the preparation and filing of Forms 3, 4 and 5 and proxy statements, assisting with the preparation of equity grant forms and the maintenance of equity plan records, and preparing related compensation committee materials.
Qualification and Experience
The candidate should have Bachelor’s degree. Paralegal certification through an ABA-approved institution is essential. Must be licensed California notary public. Should have 4-6 years of corporate paralegal experience, preferably including both in-house and law firm experience. Strong written and verbal communication is essential. In depth knowledge of corporate legal terminology, practices and principles is essential. Familiarity with common corporate record keeping and calendaring software is essential. Familiarity with international corporate compliance is a plus. Familiarity with the professional employer organization industry is a plus
