Contracts Attorney / Legal Counsel The candidate will provide legal support for the day-to-day contracting needs of company, including the drafting, review and negotiation of a variety of agreements at all levels of complexity. Will also provide contract interpretation and counseling to various functions within each company. Draft, review and negotiate all manner of agreements, including CDAs, service and consulting agreements, distribution and supply agreements, product development agreements, technology license agreements, clinical trial-related agreements, MTAs, and other corporate agreements. Assist in standardizing the contracting process and forms, including providing input to: contract templates, negotiation fallback guidelines, and training materials for the contracting process. Engage with key functions of the company with minimal oversight and guidance. Keep informed of new or changing laws, regulations, and industry trends affecting the life sciences industry generally, and the business of company in particular. Monitor contract requests and ensure contracts are processed in a timely manner while balancing legal risks with business goals. Provide sound, practical and timely legal advice and support. Establish and maintain a good working knowledge of the commercial activities and objectives of the company, and foster strong working relationships with management and business functions. Support other Legal department or company initiatives and projects as needed.
Qualification and Experience
The candidate should have a J.D. degree from an accredited law school with a current license to practice law in at least one state. Must have 3-5 years of experience with a law firm or as an in-house attorney drafting, reviewing and negotiating contracts relating to the life sciences industry, with substantial in-house experience preferred. Familiarity with laws and regulations relevant to pharmaceutical agreements, including FDA regulations governing the protection of human subjects, the Physician Payments Sunshine Act, federal anti-kickback statutes, FCPA, HIPAA and HITECH is required.
