Capital Markets Counsel IV The candidate will serve as a senior legal advisor in the Structured Products and Corporate Trust Services Section of the General Commercial and Securities Division of the Law Department, providing cross-functional support to the following lines of business: Asset Backed Finance, Corporate Trust Services, Corporate Treasury and certain other lines of business in the context of structured products transactions being executed by the related lines of business. Providing substantive legal advice on a variety of laws and regulations relative to firm's structured products capital markets and investment banking activities, particularly with respect to consumer asset securitization. Serving as a resource to and working directly with line of business lawyers and business clients and developing an in depth understanding of business unit activities and products. Reviewing legacy transactions structures, identifying and analyzing complex legal issues, developing conclusions and making recommendations for consistent issue resolution. Drafting and negotiating complex legal documents. Assisting with internal and external projects, examinations, investigations and litigation proceedings. Providing guidance to other support partners (i.e., compliance, credit, operations) and enterprise/wholesale groups related to matters associated with structured transactions; and following and ensuring consistent application of Law Department policies and procedures to manage firm's legal matters, outside counsel and legal expenses.

Qualification and Experience

The candidate must have 10+ years of as a practicing attorney with a major law firm, securities regulatory agency, or in-house law department; including 5+ years of representing firms in capital markets and investment banking activities. Should have active State Bar membership. Excellent verbal, written, and interpersonal communication skills is required. Extensive knowledge and understanding of structured products and the related regulatory environment is preferred. Substantial knowledge/experience with representing issuers or underwriters in consumer asset securitizations, collateralized loan obligations and/or other commercial real estate structured products is desired.
