Senior Paralegal
Duties: Assists with the timely preparation, organization, agenda setting, and delivery of materials for the Board of Directors and Board Committee meetings ensuring a high level of accuracy, thoroughness and completeness. Maintains accurate and up to date corporate minute books, as well as management of other corporate records. Prepares and files, when applicable, documents such as board and shareholder minutes, resolutions, consents, secretarial certificates and powers of attorney. Assists with Section 16 compliance matters as well as the preparation and filing of Section 16 reports (Form 3s, 4s and 5s) with equity award plans in a timely and accurate manner. Assists with the preparation and filing of Form 8-Ks and Proxy Statement and supports the preparation and filing of various other SEC periodic reports including Form 10-K and Form 10-Q. Manages the day-to-day insider trading compliance programs including employee communications and training, and coordinating the trading clearance process. Supports the Compliance Program and provides training to others within the company on behalf of the legal department. Drafts, reviews, and negotiates basic agreements for internal clients under attorney supervision. Assists with coordination of outside counsel and other third-party vendors on various matters to ensure their effectiveness and cost efficiency. Assists with any litigation activities, including managing document, data, and information collection and retention efforts, assist with document discovery, and manage case related documentation. Collaborates with internal legal team and other stakeholders on various short and long-term projects and provides requested support as needed.

Qualification and Experience

Qualifications: Bachelor’s degree in a relevant field or equivalent years of paralegal experience. 8+ years' of paralegal experience with 4+ years as a corporate/securities paralegal or related experience. Significant experience proactively assisting with public company Board management and agenda setting. Corporate governance, SEC and/or contracts experience also required. Experience assisting with various SEC and related compliance matters, including preparation of Section 16 reports. Strong familiarity with public company corporate governance best practices and SOX compliance. Highly detail oriented. Exceptional organizational skills. Ability to work under pressure and multi-task in a fast-paced environment. Ability and desire to work within a team environment. Highly professional with superior verbal and written communications skills. Ability to handle extremely sensitive, confidential matters. Demonstrated ability to exercise sound discretion and judgment. Strong comfort with using software and electronic platforms such as SharePoint, DocUSign, and contract management systems. Preferred: Paralegal certificate from an accredited program. In-house public company experience strongly preferred. Law firm experience a plus. Experience with discovery and other litigation related matters. Experience managing contracts processes, electronic databases, and/or managing legal department operations preferred. Experience with the administration of equity incentive programs. Experience drafting basic contracts.
