Job Overview: A law firm in Los Angeles, CA, is seeking an experienced Investment Funds Associate Attorney with 4-7 years of relevant experience in fund formation, M&A, capital markets, and other corporate transactional matters.

Duties:

• Drafting and negotiating private fund formation documents, including limited partnership agreements, subscription agreements, and side letters.
• Advising clients on regulatory and compliance issues related to investment funds.
• Conducting due diligence and preparing documentation for investment fund mergers and acquisitions.
• Assisting in the structuring and execution of capital markets transactions.
• Providing legal support and advice on general corporate matters related to investment funds.

Requirements:

• Juris Doctor (.) degree from an accredited law school.
• Admission to the California State Bar (active and in good standing).
• 4-7 years of experience practicing law focusing on investment funds, M&A, or capital markets.
• Strong understanding of SEC regulations and compliance requirements.
• Excellent analytical, research, and drafting skills.
• Ability to manage multiple priorities and work effectively under pressure.

Certifications:

• Membership in relevant professional associations (., ABA Section of Business Law).

• Proficiency in legal research databases and Microsoft Office Suite.
