Duties and Responsibilities:

  • Represent clients in private equity finance transactions, including private credit, acquisition finance, and leveraged finance deals.
  • Draft, review, and negotiate loan agreements, credit agreements, and other finance-related documents.
  • Advise clients on legal and regulatory issues related to private equity transactions and financing arrangements.
  • Collaborate with clients, including private equity sponsors, to structure transactions and address any issues or concerns.
  • Manage complex transactions from inception through completion, ensuring compliance with all applicable laws and regulations.
  • Conduct due diligence and prepare thorough analyses of financial and legal documents.
  • Provide strategic advice on financing structures and negotiation tactics.
  • Maintain and develop client relationships, delivering exceptional service and guidance.
  • Stay updated on industry trends, legal developments, and best practices in private equity finance.

Requirements:

  • Minimum of 2 years of experience in private credit, acquisition finance, or leveraged finance.
  • Proven track record of borrower-side representation, preferably with experience working with private equity sponsors.
  • Experience in general company-side representation is a plus.
  • Strong understanding of finance and business principles, including loan and credit structures.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Bar in Massachusetts or eligibility for admission.

Skills:

  • Excellent legal research, analytical, and writing skills.
  • Strong negotiation and communication skills.
  • Ability to manage multiple priorities and work effectively under pressure.
