Corporate - Legal Assistant The candidate will be managing and maintaining corporate entity filings for hundreds of subsidiaries. Will be drafting and file entity organizational documents, annual meeting minutes, resolutions, written consents, minutes, etc. with minimal supervision. Managing corporate History research. Assisting with gathering due diligence for company financings. Drafting certificate of incumbency. Ensuring that registered agents, assumed name filings, are filed and/or renewed timely. Coordinating with other subject matter experts within the Company regarding the location of pertinent information within various legal documents and/or entity filings. Preparing checklists, timelines, issues list and document schedules, as needed. Assisting the Legal Department with some administrative tasks as needed including occasionally assisting the Legal Department with coordination of schedules, meetings, and tasks with other business units in the company. Should have 3-5 years of previous experience as a paralegal. Familiarity with basic corporate, real estate and finance documents is needed. Must have significant experience with entity management, corporate governance and drafting contracts. High level of competency in a range of software packages including Word, Excel, and PowerPoint. Knowledge of SharePoint is desirable.
