Corporate - Securities and Capital Markets

Profile

Senior Corporate and Securities Paralegal The candidate will report to a senior lawyer within the Corporate Legal team. The primary role will be to assist with the preparation of the company's Exchange Act reporting, including periodic disclosure filings and Section 16 reports, made with the SEC. Will also assist with corporate governance matters as needed. Assist with the drafting, review, and filing of Exchange Act reports, including reports made on Forms 8-K, 10-Q, and 10-K. Assist with proxy statement preparation, including director and officer questionnaires and compensation tables and support. Maintain records regarding the company securities ownership. Collaborate with other departments for compensation and benefits matters, including tracking shares issued under the company’s equity incentive plans. Liaise with the transfer agent on various matters including with respect to monthly reconciliation of shares outstanding and shareholder requests. Administer Section 16 filings (Forms 3, 4, and 5) and maintains related records. Maintain working knowledge of SEC and NYSE requirements. Support the administration of the company’s policies and procedures regarding its securities, including insider trading policies and related matters such as restricted periods and designation of employees restricted from trading. Provide support for general corporate governance matters. Maintain corporate legal records, calendars, and playbooks. Provide paralegal support to the broader Corporate Legal group as needed. Perform other related duties and ad hoc projects as required.

Qualification and Experience

Candidate's with a Bachelor's degree or paralegal certificate preferred. Should have significant securities law experience inclusive of Exchange Act reporting support. Relevant experience of 8+years required, strongly preferred with a major public corporation and/or law firm. The insurance industry and corporate governance specific experience a plus. The ability to coordinate complex tasks with multiple stakeholders required. Demonstrated ability to work in a fast-paced environment with a strong focus on the collaboration needed.
