General Counsel The candidate will serve as a member of the Executive Management Team to provide legal counsel on matters such as patenting and licensing, employment law, and general corporate law situations. Will act as legal advisor and counselor to the Council of Directors and the Executive Director and their staffs; provides authoritative counsel on matters involving broad, complex, and difficult legal questions, many of which may be highly confidential or controversial. Advise on complex legal issues concerning compliance with FAR and DFARS, HJF standard terms and conditions, cyber security, antitrust, and other legal and regulatory compliance issues. Review, draft and lead or supporte negotiations of terms and conditions of purchase orders, overarching agreements, licenses, teaming agreements and other transactions with domestic and international suppliers. Support due diligence reviews of potential suppliers. Represent HJF to suppliers and business partners, including advising on supplier and business partner communications, performance issues, and dispute resolution. Coordinate on business related disputes with suppliers and business partners, including litigation, arbitration, bid protests, and claims before state and federal courts and administrative bodies. JD degree and 15+ years of increasingly technical work experience, or a combination of education and relevant experience. Must have substantial leadership experience in formulating, planning, leading, and directing complex, broad, and highly technical functions are essential. Experience in negotiating and drafting joint venture agreements, Technology Transfer agreements and license agreements; familiarity with venture capital agreements, employment agreements, lease agreements, confidentiality agreements, and nonprofit tax and business matters; knowledge of governmental operations and business practices; ability to make prompt and exacting decisions on a wide range of legal issues is essential.
