Healthcare / Transactional Counsel The candidate oversees day-to-day legal support including drafting and negotiating distribution, consignment and rebate program contracts; review RFPs and marketing materials for legal compliance. Oversees day-to-day legal support for PACT including drafting and negotiation of manufacturer pricing agreements and member agreements, and advising on the structure of, and contracting for, value added services. Key contact for special legal issues such as customer terminations, contract interpretation and analysis. Serves as legal advisor to MHS, MPB, and PACT account managers and other stakeholders on a wide array of topics relating to the customer segment needs, including legal risk mitigation, customer relationship management and retention, and strategic initiatives and service offerings. Frequent interactions with other internal stakeholders across functional groups. Must have JD degree with excellent academic credentials. Member of a jurisdiction is required. Should have 6+ years of healthcare and/or corporate law experience. Excellent commercial contract drafting and negotiation skills; experience personally structuring, drafting and negotiating complex transactional agreement is needed. High comfort providing health care regulatory advice (anti-kickback law, FCA, privacy, 340B, government contracting, antitrust), preference for experience in the hospital or specialty pharmacy space and/or negotiating commercial contracts with health care providers are essential. Outstanding verbal and written communication skill is needed. Large law firm experience combined with in-house experience is preferred.
