Corporate Paralegal The candidate will assist the attorneys with all aspects of leveraged finance and private equity transactions, as well as corporate acquisition and sales transactions. Duties will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings. Should have 5+ years of substantive corporate paralegal responsibilities including leveraged finance. Requirements of California Business and Professions Code Section 6450(c) is essential. Should have Bachelor’s degree. Large law firm experience preferred.
