Contracts/Corporate Paralegal The candidate will support the Legal Department primarily in the areas of: assisting with preparing and maintaining corporate records; supporting all SEC filings (including periodic and current reports), proxy statements and confidential treatment requests; assisting with reviewing, negotiating and drafting agreements, amendments and related documents within established guidelines, with minimal attorney oversight; and other projects as directed. This position will report directly to the General Counsel. Assist in reviewing, negotiating and drafting agreements (including non-disclosure agreements, consulting agreements, and fee-for-service agreements), amendments, and related documents, within established guidelines. Develop proficiency in using the contract management system (Conga, formerly Novatus) and familiarity with the contract request process, in order to serve as a backup to the Contracts Administrator. Support the preparation of and be responsible for the administrative aspects of all SEC filings, including periodic and current reports, proxy statements, confidential treatment requests, and D&O questionnaires. Assist with preparing and maintaining corporate records. Other projects as directed.
Qualification and Experience
An associateâ€™s degree is required, with a bachelorâ€™s degree from an accredited college or university strongly desired. 3 years of previous contracts or corporate paralegal level experience is required; experience with public, life science/biotech companies is preferred. Should have exceptional organization skills with meticulous attention to detail and ability to coordinate multiple projects and priorities simultaneously. Must be able to uphold the highest standards of discretion and confidentiality, have strong problem-solving skills, exercise good judgment on day-to-day decisions, and know when to elevate issues appropriately. Should have strong interpersonal skills, and ability to communicate and collaborate with individuals at all levels of the organization, as well as with outside parties, in a positive and effective manner.
