ProfileLegal Counsel The candidate will provide coordinated legal advice, with internal and external counsel, to company operating divisions and other departments, including Land and Land Administration; Advise and participate in the review of significant oil and gas legal matters, including title disputes, lease and royalty disputes, contract disputes, leases, division orders, unitization, operating agreements, AMIs, JOAs, easements, condemnations, claims and other pre-litigation matters; Provide legal support to internal and external teams engaged in acquisition and divestiture due diligence, asset integration and asset readiness matters, including interpreting contracts; reviewing files and records; reviewing exhibits and schedules; participating in preferential right to purchase, consent to assign, title defect and environmental defect processes; supporting the closing process and addressing post-closing matters; Advise on royalty matters, deductions and impacts for transactions, acquisitions and litigation; Drafting core E&P agreements, master service agreements, and other procurement agreements; Demonstrate excellent interpersonal, teambuilding skills, as well as strong communication skills, both written and oral; Demonstrate the ability to successfully forge relationship at all levels of the organization; Develop and maintain a reputation for high ethical standards and integrity across the organization as well as with external parties. Must possess a JD degree with a strong academic record from an accredited U.S. law school. Should have 3-6 years of upstream oil and gas experience at a top law firm and/or in-house department. Must be licensed to practice law in one of the following states: TX, OK, UT or ND.
