Senior Commercial Counsel
Responsibilities: Directly negotiate or oversee the negotiation, structuring, and management of contractual documents that establish business relationships with suppliers and third parties. Support and navigate a wide range of legal issues including, but not limited to, antitrust, intellectual property (creation, management, enforcement and infringement), licensing, UCC, trade, bankruptcy, employment, application of international law, tax, EH&S, and regulatory compliance. Lead and actively participate in projects that further legal objectives, which could include scoping, fact-finding, defining success, identifying stakeholders, compliance actions, audit, etc. Provide proactive and strategic legal advice to executive staff, including attending and participating in operational and product meetings.. Engagement with internal IP and litigation counsel to enable IP (patent, copyright, trademark and trade secret) procurement and enforcement strategies that drive meaningful impact to the business.. Manage the generation of template agreement and legal support process/cycle time improvements.. Lead and contribute to the development of business processes and policies to better enable achievement of business objectives, mitigate risk, reduce inefficiencies and improve effectiveness. Collaborate and drive change management programs in a matrix managed organization. Provide training and develop programs to protect IP and accomplish business goals. Manage outside counsel and related budgets.

Qualification and Experience

Qualifications: JD Degree from accredited and recognized law school. 7+ years of legal experience with a focus in the following areas: Commercial transactions (Buy/Sell, Licensing, Real Estate, IP assignment etc.). Patent, copyright (software), trade secrets and trademarks. Strong written and verbal communication skills necessary to support a global business. Analytical skills. Ability to analyze and summarize large amounts of data in relatively short periods. Ability to manage and motivate. Agreements involving IP provisions, including JDAs and research agreements. Excellent negotiation skills including first-hand experience of leading negotiations with parties across multiple jurisdictions. Work experience in law firm and/or in-house legal departments of multinational corporations. Excellent collaboration and communication skills. Preferred: Strong preference that the candidate have some experience in direct or matrix management, and/or interest in management. Strong intellectual capacity and high personal standards of excellence. Strong business and technology acumen; capacity to learn the business and technology quickly. Understand how to translate business needs into contract language and creatively resolve business issues. Passionate, proactive, highly motivated self-starter. Ability to work independently on a wide variety of tasks and drive results. Excellent organizational skills, including attention to detail and ability to create specific action plans based on general guidance and deliver results. Ability to see the big picture and identify and design-out problems from the outset; continuous improvement mindset. Ability to work collaboratively across organizational boundaries, and with a diverse group of colleagues and internal clients in multiple countries. Flexible, personable and enjoys a dynamic corporate culture.
