Director Corporate Tax The candidate will be responsible for all tax affairs, including global tax strategy, tax planning, tax provisions, and compliance/audit governance. Develops and administers formal tax management policies and strategies and ensures thorough and consistent communication and compliance within a diverse set of constituencies interfacing with the Tax Department. Manages departmental resources to provide the corporation with a cost effective, efficient coordination of internal staffing and external providers. Domestic and International Tax Planning: Directing the worldwide tax planning initiatives of the company to minimize its overall tax burden and efficiently utilize internal and external tax resources. Maintain ability to support company efforts in major new business initiatives or transactions. Tax/SEC Compliance: Planning and coordinating the preparation and review of the worldwide income tax provision of the Company and its foreign affiliates and effectively interpreting and communicating the results of such work to senior management and the Board of Directors (including all required SEC reports), with a principal objective of avoiding tax-related errors in the Companyâ€™s financial statements; responding timely and effectively to all inquiries concerning income tax accounting matters made by the SEC, PCAOB or other regulatory body; adequately maintaining and improving internal controls in the area of income taxes and coordinating related activities, testing, etc. with the Director, Internal Audit. Planning and coordinating the preparation and review of all required federal, state and foreign income tax return filings including integration with the tax provision function; maintaining records to adequately support all reported tax positions and respond timely and effectively to audits and other inquiries made by income tax authorities; by developing an appropriate risk management process, minimize the occurrence of any tax authority penalties. Establishes and coordinates required analytical, research and implementation efforts to fully realize the companyâ€™s tax strategies, including appropriate involvement of Finance, Legal, and other internal constituents and external consultants, advisors or providers. Identify and implement improvements to the tax compliance and tax provision process. Establishes and implements a process that facilitates the identification and management of tax risk. Assist with integrating the tax function with the business units to support strategic initiatives while minimizing tax risks to support. Manages the resources and cost of the Tax Department. Identifies and organizes appropriate tax training. Recruits and hires an adequate and competent tax staff to effectively meet the objectives of the company and the department.
Qualification and Experience
The candidate should have Undergraduate or Graduate Degree in Accounting with CPA certification and/or J.D. degree. Preferred Education and Skills: Masters of Science in Tax (MST) or the equivalent. Big 4 Public or comparable large Regional firm experience. Post Public Accounting experience as Tax Director (domestic or international) within global manufacturing organization, with organizational and tax coverage similar to Rogers. Experience with One source Tax Provision and Tax Compliance preferred. Should have 10-15 years experience working with multinational organizations in public accounting or private industry with significant tax planning, tax provision and compliance experience at the Director level or higher. Must have experience with significant domestic and international tax structures. Should have proven leadership and mentoring skills, self-starter and team player. Must have demonstrated record of success leading or materially contributing to an organization with a complex, multinational tax structure. Should have ability to identify, analyze and resolve complex business and accounting issues with tax implications. Must have solid working knowledge of income tax accounting rules including new regulatory developments from the FASB and SEC as well as domestic tax matters associated with a multinational U.S. manufacturer including transactional tax planning matters. Should have significant and practical experience with international tax planning and compliance matters including foreign tax credit, transfer pricing (including cost sharing, technology and other asset transfers and service arrangements), Subpart F issues and foreign organization and reorganization transactions with various entity types (disregarded entities, hybrids, etc.). Must exhibit credibility when representing the Company in tax matters, present a positive, persuasive and professional presence, and have excellent communication, analytical and decision-making skills. Should have Tax Management and Technical tax expertise. Must have skill in interacting with the C-suite and the Board.
