Junior Corporate Counsel The candidate will report directly to the General Counsel and will provide the opportunity to counsel and interact with senior executives, brand leaders, and all the business teams within the organization. Negotiation and preparation of documentation related to mergers and acquisitions, financings, assignments, and other transactional documentation; Preparation, review, revision, and filing of franchise disclosures; and Negotiation, drafting, and finalizing development agreements, leases/subleases, and other complex contracts related to procurement, marketing, and real estate services. Negotiation of workouts with franchisees, landlords, lenders, and other suppliers; Management of pre-litigation matters, which may include disputes related to intellectual property, real estate, and financings; Preparation, filing, and argument of franchisee disputes in litigation or alternative dispute methods; and Coordination of outside counsel in management of a variety of litigation matters. JD degree with excellent academic credentials from a top law school preferred. Should either have recently taken the Bar exam or be a member in good standing of a state Bar. Strong undergraduate credentials, business degree preferred.
