Corporate Paralegal
This is a great opportunity to join a busy legal team in a dynamic health care information technology company. The Corporate Paralegal will provide integral support to our legal team in a variety of areas, focused on corporate governance, tax and finance, equity compensation, and board of directors matters and other areas that may be assigned from time to time.
The Corporate Paralegal may report to the office on a voluntary basis prior to the company’s return-to-office date and will thereafter be a flexible position . Although Watertown, Massachusetts is the preferred office for the Corporate Paralegal, applicants reporting to athenahealth’s office in Atlanta, Georgia will be considered.
Job Responsibilities
Provide paralegal support to team focused on corporate governance, subsidiary management, equity compensation, finance, tax and controllership, corporate communications, and marketing
Overseeing the preparation and filing of annual reports, state taxes (including sales tax support) and foreign qualifications for the Company and its domestic and international subsidiaries in multiple states.
Managing or assisting with domestic subsidiary matters, including formation, dissolution, conversion, drafting of governance documents, and maintenance of minute books. Experience with international subsidiaries preferred.
Assisting with the preparation and organization of detailed records in support of the Company’s Board meetings and financial filings.
Maintaining and filing corporate records, including resolutions, board of director changes, annual reports, and other required filings etc.
Drafting and maintaining legal documentation in support of the Company’s business operations, including incumbency certificates, officer certificates and delegations of authority.
Coordinating and receiving board and committee signatures for documents and materials
Manage board document delivery and related responsibilities in connection with board meetings
Experience issuing board-approved equity to stakeholders, processing exercises and transfers, and updating capitalization table preferrable
Working with other members of the legal team on special projects and initiatives
Responding to the unexpected in a fast-moving technology company.
Typical Qualifications
Bachelor’s Degree required; paralegal certificate a plus
5+ years of paralegal experience at a firm/technology company
Experience with board meetings and communicating with directors
Experience with other legal technology, including iManage
