Counsel The candidate will review, negotiate, draft and document all legal aspects of transactions, including agreements described above. Will partner with members of various business groups, including business development, corporate development, project development and project finance, and other company associates, during the kick-off stage of a project through and beyond closing, in an effort to provide legal solutions that allow the company to meet its goals while protecting its interests. Develop project-specific form modifications, and educate operational and other colleagues on key project-specific deviations from form. Support project teams by reviewing legal aspects of commercial arrangements, providing contract interpretation guidance and attending project meetings. Provide creative solutions to complicated commercial arrangements. Form respectful, strong working relationships with existing and potential customers and legal advisors. Maintaining up-to-date knowledge of all terms and conditions, transaction status and open issues. Develop initial and back-up positions with business and operational counterparts; strive to reach compromises that advances the deal while protecting the company’s interests. Interact with members of various other functional areas who will be impacted by the transaction, including accounting, treasury, tax and subject matter specialists within the legal department. Commitment to developing and sustaining a first class in-house legal department, including by providing timely and clear legal advice to business, operational and functional counterparts, being supportive, solution-driven and team-focused and providing assistance to fellow members of the group.

Qualification and Experience

The candidate must have Bachelor’s degree and J.D. degree. Should have 6+ years at a top tier law firm or recognized in-house legal department specializing in the negotiation and documentation of transaction agreements. Must have experience negotiating and drafting equipment supply agreements; engineering, procurement and construction agreements; operating and maintenance agreements; purchase and sale agreements; and ancillary agreements (e.g., letters of intent, non-disclosure agreements, engagement letters, etc.), including lead drafting experience. Should have experience managing transactions as lead attorney from project kick-off through closing, and maintaining involvement in the transaction during the post-closing period as necessary. Fluency with Microsoft Office products required. Knowledge of English language is essential.
