Corporate Securities Attorney The candidate will handle duties that include: Ensure compliance with Securities Act and Exchange Act matters; Prepare and review of SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K, proxy statements and Section 16 reporting; developing, refining and maintaining policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements applicable to publicly-traded companies; Review, draft and negotiate commercial and services contracts; Anticipate and identify legal risks, and use critical thinking to provide proactive and strategic solutions to eliminate or mitigate those risks; Management of external counsel in corporate securities and mergers and acquisitions activity on as-needed basis. JD from a top tier-law school is required. Must have 3+ years of relevant experience at a top-tier law firm. Should have experience with corporate and U.S. securities laws, corporate governance and board governance matters, including risks and best practices. A background in corporate and securities law is required; experience with healthcare companies is preferred.
