Paralegal Duties: Assists with statutory filing obligations, board and shareholder meetings, and public reporting obligations with respect to entities with Group clients. Prepares corporate documents for Group clients, such as board and shareholder resolutions, proxies, appointment of officers, powers of attorney, etc. Monitors and maintains corporate documentation to ensure legal compliance. Acts as a liaison between management, the corporate secretary and outside counsel for any specific matters. Assists in the research, analysis and interpretation of legal requirements. Maintains the corporate database for clients and other activities in conjunction with established department guidelines and procedures. Signal any legal or tax issue of a client transaction and liaise with the client and/or advisors. Assist and support any type of opening bank accounts and check on the bank/authorized signatories; Keep updated about changes in local (relevant) legislation; Work with Sales staff and client to explain NDAs, Master Service Agreement, Contract, etc. Preparation of Domiciliation and Management Agreement and Indemnity Agreement; Checking regularly ongoing tasks (like bank accounts etc.). Liaising with sales, management, in house legal counsels and outside legal counsels with regard to local commercial services contracts and commercial services international (multi-country) contracts. Provide advice, support as well as drafting and negotiating commercial services international (multi-country) contracts. Act on cross-selling initiatives with Sales as opportunities arise; Assist Global Sales team in transactions with prospect and current clients for new business and renewals; Performs other duties as assigned or apparent.
Qualification and Experience
Requirements: Paralegal certificate is required but may be waived for an individual with significant corporate legal experience. 3 years of experience in a corporate legal department, law firm or corporate environment. Experience with a large international law firm or within the law department of a large international company preferred. Must be able to work both independently and as part of a highly collaborative team. Superior written and oral communication skills in English and Spanish. Portuguese desired. Proficiency in Microsoft Word, Excel, PowerPoint and SharePoint. Knowledge of database tools and ability to maintain information in database format. Experience supporting senior management and geographically dispersed clients. Excellent strategic and organizational skills, with the ability to follow through on numerous projects simultaneously under short deadlines.
