Legal Counsel
The candidate: Advises the business with respect to compliance with international, federal and state laws and regulations applicable to doing business as a global defense contractor. Works as a partner with the business to facilitate compliance with international laws, and federal and state regulations. Advises management of new legislation and government regulations which might affect operations. Drafts, reviews and/or oversees the drafting of a wide range of legal/contractual documents, including, but not limited to, commercial, international and government contract documents, non-disclosure agreements, teaming agreements, acquisition and disposition agreements, leases, licenses, and purchase and sales agreements. Provide legal advice to business and management personnel. Proactively ensure that the Legal function is in full compliance with all corporate and governmental directives, ethics, policies, regulations, and laws. Formulate and recommends operating policies and objectives or changes in existing policies and procedures to ensure compliance with corporate and governmental directives, ethics, policies, regulations, and laws. Under the general direction and supervision of Senior Counsel, functions as liaison between management and outside legal counsel. Assist with analysis and advice regarding litigation and pre-litigation matters. Applies a strong government and commercial contracting background, and a demonstrated facility with regulatory requirements for public contracting and subcontracting, including requests for equitable adjustments, business systems, and claims. Advises supply chain management on contractual matters and on its negotiations with subcontractors. Participate in reviewing, interpreting and drafting various company policies and procedures. Participate in professional associations. Develop and present various legal training courses and materials for employee workforce on a variety of legal and other functional topics. Develops expertise in laws and regulations that affect Systems business, staying current on legislative issues, statutes, decisions, laws, regulations and ordinances. Maintains a safe work environment and ensures compliance with safety objectives and policies. Conducts internal investigations, under the supervision of the Chief Counsel; partners with Ethics, Human Resources, Security, International Compliance and other functions as appropriate. Supports legal department objectives within an established budget. Accepts other tasks as assigned by Senior Counsel, Chief Counsel, or Deputy Chief Counsel. Should have Typically a Bachelor's Degree and 12+ years work experience or equivalent experience. Must have 5-7 years of legal experience in a law firm, in-house, or government setting with a primary focus on U.S. Government contracting. Must possess a JD Degree along with strong undergraduate school credentials. Must hold a current, valid license to practice law in at least one United State jurisdiction, preferably Minnesota, Kentucky or Virginia. In depth knowledge of U.S. Government contracts issues, including FAR and DFARS is essential. Should have experience with Government Protests and requests for equitable adjustment. Should preferably have knowledge of international transactions. Current active Secret clearance or the ability to obtain such a clearance is essential. Should have knowledge of foreign military sales contract issues. Must be familiarity with ITAR, EAR and U.S. export control laws.
