IP Licensing / Product Counsel The candidate will address and manage IP needs of the business including: drafting, negotiating, interpreting and advising on IP related agreements, such as non-disclosure agreements and licensing agreements, and IP provisions in commercial agreements. Wil develop form agreements, best practices and training initiatives for an evolving business. Advise and counsel the company, including senior management, on product compliance and IP matters. Work closely with the Product and Engineering teams to advise on new features and business initiatives to ensure compliance with regulatory and contractual obligations. Oversee and coordinate with outside counsel as necessary with respect to intellectual property protection. Undertake other projects as required as part of a small legal team. JD degree from a top law school is needed. Should have 5-7 years of transactional IP experience at a top law firm or in-house. Experience at drafting and negotiating a wide range of IP agreements, licensing agreements and commercial contracts, with strong attention to detail is needed. Deep experience partnering with and providing support to Product and Engineering teams is required. Demonstrated experience as a self-driven attorney who can work independently; strong drafting and negotiation skills along with excellent business judgment and strategic thinking is needed. Experience in enterprise software, with knowledge of cloud-based service offerings is a plus Active membership in at least one state Bar.
