Counsel The candidate will provide advice, counsel and services with respect to legal matters as assigned by the Associate General Counsel and other members of the Legal Department. Will be that of a legal generalist, and cover a wide range of legal matters including general corporate, litigation, distribution, and contractual matters. Give legal advice and counsel to company personnel on a large number of matters on an ongoing basis. Responsibility would include in-depth counsel and guidance with respect to: Contract review, drafting and negotiation; Commercial policies, transactions and business relationships; Corporate, retail and distributor finance transactions; etc. Assist with respect to distribution matters and dealer protection laws.4. Review and advise on the legal aspects of marketing and advertising programs, practices and activities, including pricing, promotions and claim substantiation. Provide counsel with respect to antitrust, customs, export control and other trade regulation matters. Handle other legal matters as assigned by the Associate General Counsel and other members of the Legal Department. Support Companys Corporate Secretary function. Must have graduate of a nationally recognized law school and licensed to practice law in the state of Illinois, with 3-5 years of relevant post-JD experience. Should have broad, general knowledge of corporate, commercial and distribution laws and jurisprudence, ability to recognize issues of a U.S. or international nature. Working knowledge of antitrust and trade regulation laws and UCC is required. Strong contract drafting and negotiation skills; excellent analytical and communicative skills; and ability to work well independently, as well as in a team environment is needed. Working knowledge of Microsoft Word, Excel, Power Point, etc is must. Excellent academic credentials, general commercial law, litigation and corporate experience, strong contract drafting skills, as well as knowledge and experience with laws affecting manufacturing and distribution networks is essential.
