ProfileSenior Corporate Paralegal The candidate will work directly with the General Counsel and legal team as the heartbeat of what the team does. Responsible for preparing filings, resolutions and other corporate documents to ensure U.S. and non-U.S. subsidiaries of the company meet their annual corporate governance requirements as assigned by the senior counsel, including, filing annual reports, preparing Board and shareholder resolutions, preparing board minutes, and effectuating board compensation. Assist in the drafting and/or review of legal contracts and transactional documents, including vendor contracts, confidentiality agreements, dealer and distribution agreements, purchase agreements, and manufacturing agreements. Perform legal research and draft memoranda on various international, federal, state and local matters. Enter and manage contracts in the contract management system, including docketing renewal dates, expiration dates, and other time-sensitive contractual requirements. Organize and maintain important legal department documents in a digital central filing system to ensure prompt retrieval upon demand. Administer a system for tracking of outstanding litigation and filed complaints, including the tracking and management of subpoenas, garnishments, and lawsuits. Manage and track legal invoices through Serengeti, manage the set-up of new matters, manage the set-up of new vendors by coordinating with finance/accounting, and ensure prompt payment of legal invoices to outside firms. Projects and special assignments, as needed, with limited supervision. Compile and maintain minute books, including preparation of annual consents and filings. Work with finance/accounting to administer customer bankruptcy cases, including timely filing proof of claims with bankruptcy court including working knowledge of Pacer bankruptcy search. Work collaboratively and efficiently in a fast-paced, team oriented environment on sophisticated corporate/manufacturing legal matters. Prepare and file annual reports, notices of changes of officers, directors and related corporate information in jurisdiction of incorporation. Coordinate and track case management with outside counsel. Use strong organizational skills, be extremely detail-oriented and work well under tight tie constraints. Organize and maintain legal files. (originals and electronically). Assist the Legal team with all stages (review, revision, organization, tracking) of a variety of commercial and transaction. Maintain, update, and revise legal department forms and company policies and procedures. Incorporate vision, forward looking focus, best practices and project management concepts into the lease and contract administration processes and procedures. Contribute to organizational, process, and procedural review and changes to increase departmental efficiency. Ability to work autonomously and exercise appropriate time management to respond to shifting demands, and present a positive, professional image with colleagues, landlords, and vendors. Bachelor’s Degree and/or Associate’s Degree preferred. Paralegal certificate from an ABA approved program required. 7+ years of: paralegal experience preferably in an in-house corporate legal team; drafting and redlining contracts and agreements required. In house brand experience required. Track record in Music and/or Entertainment law, a plus. Outstanding verbal and written communication skills required. Strong working knowledge of Microsoft Office (Word, Excel, PowerPoint, Outlook) required. Working knowledge of Adobe Sign and/or any e-signature software required. Contract management through Contract Management Software required. Knowledge of Concur for Travel and Expense Reporting, a plus. Knowledge of Serengeti Legal Tracker for legal billing and budget maintenance, a plus.
