Corporate Paralegal DUTIES: Assist attorneys to prepare integral corporate documents/materials. Work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Create and maintain corporate contract files. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Assist with governmental filings. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of DCC filings and handle DCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.

Qualification and Experience

Qualifications: Paralegal Certificate from an accredited paralegal program. Bachelor’s Degree Preferred. Member of New Jersey Bar. 2-4 years of experience as a paralegal, preferably for healthcare company or law firm. Significant experience in general corporate matters, healthcare regulatory compliance, contracting, mergers and acquisitions. Self-starter with the ability to work efficiently with minimal supervision. Strong analytical critical thinking skills. Ability to manage and bring complex projects to close. Broad knowledge of contract preparations, and correspondence. Strong work ethic and the ability to manage multiple tasks at once in a fast paced, performance driven culture.
