Staff Attorney Duties: Draft, review, analyze and negotiate a variety of contracts, with a particular emphasis on real estate-related lease amendments, estoppels, consents and SNDAs and SaaS contracts but also including NDAs, services and consulting agreements, IP licensing contracts and other technology agreements. Assist with intellectual property maintenance. Prepare minutes, resolutions and consents for domestic subsidiaries and assist with entity maintenance and licensing requirements. Assist with securities filings, including preparing and managing Section 16 filings. Support the department’s efforts to ensure compliance with various data protection laws. Assist with managing pending and open litigation matters and other claims internally and with the assistance of outside counsel. Support department in various stages of M&A transactions, including due diligence and closings. Advise business colleagues and other cross-functional stakeholders on legal issues and risks, approval processes and company policies. Conduct legal research, as needed, with a particular emphasis on L&E and retail/restaurant compliance and operations. Assist with special project assignments, as needed.
Qualification and ExperienceQualifications: JD from an ABA-accredited law school with GPA of 3.0 or higher. Admitted to and in good standing with the state bar of at least one US state. Should have 1+ years of total legal experience with experience drafting, negotiating, and advising on commercial contracts. Excellent written and oral communication skills. Excellent customer service skills with the ability to interact effectively with individuals based in remote locations and at all levels of the organization.
