Profile

Paralegal The candidate will provide review and drafting support for routine legal documents and corporate agreements and instruments, including non-disclosure agreements, consulting agreements, sales agreements, etc. Draft board and committee minutes, agendas, calendars, written consents and resolutions, assembly of board meeting packages, and assist with board committees. Support litigation matters, including the collection and review of documents for responsive information, and assist with discovery and subpoena responses. Provide corporate governance support and serve as primary organizer and administrator of corporate records; assist with annual reports, regulatory filings, and other corporate documents. Conduct legal and factual research under the direction and guidance of General Counsel or other in-house Counsel. Manage the Legal Department’s document management repositories, contract management system, and other information repositories to promote efficiency and centralize key templates, policies, processes, memos, etc. Evaluate and implement measures to enhance cross-functional collaboration on legal projects and strategic initiatives. Assist with Legal Department projects as needed. Other duties as assigned.

Qualification and Experience

The candidate should have Bachelor’s degree in Business, Finance, Accounting, or another business discipline directly related to the position. Should have relevant experience may substitute for the degree requirement on a year-for-year basis. 5+ years of Corporate Paralegal experience. A paralegal Degree or Certification is desired. Should have proficiency with Microsoft programs and applications (Outlook, Word, Excel, PowerPoint), Adobe, and document management systems. Should be a self-starter with a proactive and problem-solving approach who demonstrates exceptional organizational and planning skills. Should have analytical and critical thinking skills sufficient to make decisions regarding daily work that is complex in nature, strong verbal and written communication skills; ability to communicate with individuals at all levels of the organization, ability to work independently while functioning well in a team environment, ability to understand general business operations, issues, and dynamics beyond the scope of basic legal issues.
