The Position: Provide legal support in all phases of Rabo AgriFinance LLC’s lending and general business activities. Key Responsibilities and Accountabilities: Provide legal support and work on legal matters in all aspects of RAF’s business including, without limitation, the areas of corporate governance; litigation; secured lending; unsecured lending; the Uniform Commercial Code; HR and personnel matters; licensing; intellectual property; credit approvals; collection decisions; AML and regulatory compliance requirements including global compliance statutes; litigation summaries; communications related to legal issues for internal and external use; review all such legal loan documentation to ensure loans are documented according to loan approval, appropriate regulations and credit policy; proactively interact with all levels of lending personnel to provide legal support, legal documentation; assist with and provide resolution to legal issues. Provide counsel and direction to management on the legal aspects of the business of the company. Participate in the resolution of disputes. Negotiate and draft corporate agreements, leases, and settlement agreements. Actively manage issues and duties delegated by the General Counsel or Senior Deputy General Counsel and coordinate activities in conjunction with the use of outside counsel as required. Support Senior Deputy General Counsel in addressing on going policy and procedure drafting and work with the Policy & Procedure Analyst to insure that those changes get published and can be referenced by all RAF employees. Review policies, procedures and processes to ensure adequacy and effectiveness. Assist in providing training and informational support on legal issues to any or all departments and personnel within the company. Draft and implement new policies, procedures and processes to address company’s legal needs. Provide training, communication, and information support on such policies procedures and processes to any or all departments and personnel within the company. Under the direction of the Deputy General Counsel accountable for Special Asset Managers, provide legal support to Rabo Special Asset Managers in the restructuring and documentation of workout accounts as well as actual collection activities, including litigation and bankruptcy matters. Perform file reviews as needed for loans transferred to Special Asset Management Dept. Provide legal support related to OREOS including in areas of environmental issues, insurance issues, property tax issues, completion of AFIDA forms and TD advice forms. Assist special asset managers, relationship managers, and vendor finance department with structuring, restructuring, drafting, negotiating and closing secured and unsecured agricultural loans using specific knowledge of real property laws, Revised Article 9 UCC, and workout/bankruptcy. Deal with operating loan transactions including inventory, accounts receivable, and distressed debt transactions, involving such facilities as revolving lines of credit, term debt facilities, and participations and syndications. Directly represent the company in litigation involving unsecured loans. Duties include handling all aspects of litigation including drafting and filing pleadings and motions, discovery, filing and arguing motions for summary judgment, and appearing in court on such matters. Be the primary attorney for one or more territories as assigned and the secondary attorney in one or more territories as assigned. Coordinate such territory’s work load with (i) the other attorney assigned to that territory, (ii) the Closing unit aligned with such territory, and (iii) Customer Relationship Team (in the event of conflicting work priorities between regional offices, confirm priorities with the appropriate General Manager). Provide support, give opinions, analysis and recommendations for RAF employees regarding structure, risk and other general questions on prospective and current loans and borrowers. Take a leadership role in managing projects and processes with loan documentation. Act as lead legal liaison with the documentation team. Take a leadership role in Legal Department’s participation in continuous improvement projects. Take a leadership role in cross functional initiatives by leading initiatives and/or acting as the Legal Department representative on such initiatives. Assist or lead special projects designed to improve RAF’s loan documents, processes, or other functions. Assist or lead remediation projects to address past concerns or deficiencies in an effort to mitigate risk and improve the company’s future performance. Identify legal risks facing the company, advise the company regarding the risk, and develop and implement actions to mitigate such risks. Integrate and identify strategies to mitigate risk and take proactive legal action when necessary to protect interests of RAF. Exercise legal judgment on independent and team basis on all matters including matters with potentially significant financial and legal exposure. Perform legal research as necessary to accomplish goals of legal department. Actively seek coaching and mentorship from senior leaders within the company and external resources. Risk Complete all mandatory training within a timely basis, as instructed. Comply with code of conduct and Bank policies/ procedures. Actively identify incidents outside of established policies and procedures and report to management immediately. Must be familiar with and comply with laws, regulations and internal policies and procedures that are applicable to required job duties. Understands and complies with all RAF and Rabobank anti-money laundering (AML), compliance, and all other applicable laws, including, but not limited to, the completion of all required AML and Sanctions training. Working knowledge of accounting including an understanding of the balance sheet, profit and loss statements and general ledger bookkeeping. Must communicate effectively, manage multiple priorities, utilize knowledge of agricultural credit issues in multiple states, attention to detail and maintain positive personal interactions. Must have knowledge of litigation procedures coupled with the ability to manage tasks for results, able to maintain objectivity, display of technical understanding of general Federal Bankruptcy rules, UCC ART. 9, mortgages: deed of trusts; a good understanding of the varied aspects of short-term agricultural credit and general agricultural background or experience in related area. Ability to read, analyzes, and interprets complex documents. Ability to respond effectively to sensitive inquiries or complaints. Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables. Qualifications: Education: Law Degree with more than 7+ years of experience. Qualifications: Hold license to practice law in Missouri or ability to petition and obtain license Experience: General knowledge of production agriculture as well as specific knowledge of law related to agricultural lending, e.g., lien perfection on crops, machinery and equipment and real property; supplier liens, grower liens, etc. 3-5 years litigation experience. While performing the duties of this job, the employee is regularly required to sit and talk or hear. The employee frequently is required to stand; walk; use hands to finger, handle, or feel objects, tools, or controls; and reach with hands and arms. The employee is occasionally required to stoop, kneel, crouch, or crawl. The employee must occasionally lift and/or move up to 10 pounds.
