A law firm seeks a highly experienced Senior Investment Funds Associate Attorney to provide strategic legal guidance on the formation, structuring, and management of investment funds and related entities. This role involves advising clients on private equity, venture capital, real estate, and debt/credit investments, negotiating fund agreements, and ensuring compliance with securities laws and regulatory requirements. The ideal candidate will have extensive experience in drafting and negotiating fund documentation and structuring incentive plans.
Guide clients through the establishment and structuring of . and international investment funds, managed accounts, and other investment vehicles.
Draft and negotiate governing documents, offering materials, investment management agreements, subscription materials, and placement agent agreements.
Provide legal counsel on fund manager compensation structures, including carried interest arrangements and long-term incentive plans.
Ensure compliance with . securities laws and regulatory filings for investment funds and asset management entities.
Represent institutional investors in structuring private equity, real estate, credit, and venture capital investments.
Negotiate fund agreements and subscription documents on behalf of investors.
Advise on secondary market transactions, including continuation funds, and draft related agreements.
Oversee the negotiation and documentation of various investment agreements to align with legal and business requirements.
Collaborate with internal and external stakeholders to develop innovative legal strategies for fund structuring and compliance.
Minimum of 5 years of experience in investment fund formation and private equity transactions.
Strong expertise in structuring and managing investment vehicles, including general partners, investment managers, and advisers.
Extensive experience in negotiating fund agreements and investor-side documentation.
Deep understanding of securities laws and regulatory compliance related to investment funds.
Proven ability to navigate complex fund structures, including secondary transactions and continuation funds.
Strong leadership skills with the ability to manage multiple workstreams and mentor junior legal professionals.
Master’s degree in law () or foreign equivalent.
Active license to practice law in the State of New York.
Expertise in investment fund formation and alternative asset transactions.
Strong contract drafting and negotiation abilities.
In-depth knowledge of . and international securities laws.
