Managing Paralegal The candidate will be responsible for a full range of paralegal support to the Corporate Secretary’s function, including administration of the corporate records database of licenses, domestic and international registrations and corporate records of the organization. Will maintain documents and files in a corporate records database system (such as CTAdvantage). Draft, maintain, review and file corporate records, including board and committee resolutions and consents, delegations of authority, by-laws, operating agreements, secretary’s and officer’s certificates and others. Coordinate and receive board, committee and senior management signatures and approvals for documents, agreements and other corporate materials. Create documents related to new corporate entity formations, dissolutions, and maintenance of existing companies. Maintain officer and director slates for various corporate entities as directed. Maintain legal records including policies and procedures, transactional documents, forms, and others. Assist tax and permitting/licensing on various matters. Perform legal research as requested. Assist with the preparation and filing of questionnaires, certifications and other documents with regulatory authorities. Prepare, proofread and distribute legal correspondence. Compose own correspondence as well as correspondence for signature including the execution and distribution of reports. Open, review and process legal correspondence and other incoming information. Schedule appointments, arrange meetings, and prepare required materials. Attend meetings and records and report on proceedings. Perform all other position related duties as assigned or requested.
Qualification and Experience
The candidate should have Associate degree in Paralegal Studies with 5 years of experience, preferably in Corporate Secretary’s office or with corporate governance. Paralegal certificate and Bachelor degree preferred. Strong proficiency with Microsoft Word, Excel, and PowerPoint is required. Excellent written and verbal communication skills needed.
