Legal Counsel II, M&A The candidate will provide and manage internal and external legal resources for complex transactions. Will support the Senior Legal Director, Mergers and Acquisitions, Corporate Development function and Global and Regional Business Units to timely and effectively structure, negotiate and complete company's business acquisitions, divestitures, joint ventures, minority investments, fund investments and other complex transactions. Provide advice to and partner with the transaction team throughout all stages of the transaction process. Advise transaction team with respect to deal structuring considerations. Manage legal due diligence efforts for deals and assure that key findings are known and addressed. Manage antitrust approval process in connection with acquisitions. Assure the negotiation and execution of top quality legal agreements governing company's complex transactions. Assure that deal timetables are met. Mentor Corporate Development Associates in the mechanics of structuring and completing deals. Perform duties in compliance with environmental, health and safety related site rules, policies or governmental regulations.

Qualification and Experience

The candidate should have a J.D. degree and license to practice law. Must have 5+ years of legal experience. Should have experience drafting and negotiating complex agreements. Experience with M&A and minority investment transactions is needed. Understanding of financial statements and business projection is preferred. Working knowledge in diverse legal fields, including corporate, securities, SEC, contract, tax and antitrust law and exposure to related international law is desired.
