Due Diligence Specialist I The candidate performs a variety of highly skilled and confidential administrative duties related to the preparation, review and retention of all legal documents and required information necessary for commercial loan transactions, including new loans and/or modifications of existing facilities, for all of companyâ€™s affiliate banks. Performs pre-closing and post-closing tasks that require an expanded level of commercial loan documentation knowledge. Responsible for efficiently performing pre-closing and post-closing duties in a timely manner to support Commercial Banking and ensure compliance with relevant lending regulations and in accordance with commercial lending procedures. Responsible for providing high quality work and maintaining high quality working relations with internal customers. Ensures that the Bank has received satisfactory due diligence documentation in connection with new and existing commercial loans by reviewing internally-prepared documentation, including without limitation, credit approvals, to determine what due diligence documents are necessary in connection closings on new loans, and modifications of existing credit facilities, and to confirm that transactions have received the appropriate internal approvals. Drafts the checklist that will be used to monitor the status of due diligence documents. Communicates with the appropriate parties to obtain certain outstanding due diligence documents. Confirms the receipt of, ordering, and/or reviewing, as the case may be, due diligence documents, including without limitation, formation and governing documents, foreign qualifications, authorizing resolutions, certificates of good standing, title commitments, flood certifications, appraisals, environmental reports, search results, and insurance certificates. Negotiates directly with title agents and insurance agents. Performs regulatory due diligence, including to BSA requirements, ordering and reviewing flood certificates, and preparing the flood worksheet, if necessary. Proactively identifies issues that could potentially delay or prevent closings, notifying the appropriate parties, and working to resolve such issues in a practical, efficient manner. Prior to closing, if any due diligence items are outstanding, advising the relationship manager of the same, and preparing an agreement to address the same. Assures timely delivery of all closing packages. Uses knowledge of commercial documentation to confirm due diligence documents are properly retained and identified in the Corporationâ€™s document imaging system. Keeps abreast of changing documentation requirements, banking regulations, and current bank policy and procedures by maintaining a level of knowledge of corporate lending products, corporate loan policy, compliance requirements and applicable state laws and regulations for numerous company affiliates. Serves as a resource for bank lenders by providing advice and information regarding all loan types to guide in properly documenting commercial loans and answering inquiries that may require further research. Responsible for document review to ensure accuracy and completeness of all transactions by conducting a self-review of work completed to ensure accuracy of the settlement package. Maintains the ability to recognize when independent decisions can be made and remaining aware of when to involve higher supervisory or management level staff. Should have Associate Degree or equivalent experience. Specialty: Business. 2+ years Banking, legal, or real estate industry is preferred. Paralegal Certificate is desired.
