Corporate Paralegal The candidate will support attorneys in representation of investment funds (including hedge funds, private equity funds, real estate funds, debt funds, mutual funds, real estate investment trusts and exchange-traded funds. Will assist with the preparation of responses to audit request letters from investment funds and advisors. Draft and submit formation documents and other corporate filings for investment funds, investment managers and other related entities with Delaware and New York. Assist in the closing of private placements and public offerings of debt and equity securities, including assisting with obtaining good standing certificates, preparing closing opinions, coordinating with couriers and other third party service providers. Assemble closing documents and prepares closing binders. Assist in knowledge management program, including maintaining electronic files for precedent documents. Review and file SEC documents, including monthly, quarterly and annual filings. Perform other miscellaneous projects and tasks as requested by attorneys and Paralegal/Project Assistant Manager. Perform other work-related duties, as may be assigned. Bachelorâ€™s degree from an accredited college or university with strong academic credential is needed. Should have 3+ years of experience working at a large law firm. Strong organizational skill is needed. Strong interpersonal communication skill is needed.
