Director Corporate Law
The candidate will collaborate closely with business leaders on a global basis to support corporate transactions and related matters, including mergers & acquisitions, financings, transactional integration activities, and complex commercial transactions. Assist General Counsel in overseeing corporate law functions, including corporate governance, board support, securities, corporate transactions and equity administration. Collaborate with Finance, Accounting, IR, PR and marketing teams on external communications such as earnings releases, press releases, investor presentations and marketing materials, and company websites. Collaborate with and manage outside legal counsel on corporate and securities matters. Provide support for other matters (e.g., taxes, litigation, etc.), as needed.

The candidate should have 10+ years of relevant corporate law experience, including both law firm and in-house representation of global publicly traded companies (prefer medical device experience). A J.D. from an accredited law school and admission to the State Bar of the location where you reside. Substantial in-house M&A and finance experience at a public company. Prior experience as an associate or partner at a reputable corporate law firm. In-house 1933 and 1934 Act disclosure and reporting experience. Experience managing corporate governance and Board of Directors functions. Experience as a manager of senior attorneys. Exceptional attention to detail, organizational skills and judgment. Ability to effectively handle multiple tasks in a fast-paced environment. Ability to give well-organized, thoughtful presentations to senior management.
