Associate Legal Counsel
Duties: Manages the organization’s contracts and contracting process with, but not limited to, clients, payers, manufacturers, health systems, distributors, technologies, and vendors. Drafts, reviews, interprets and negotiates client and vendor contractual agreements. Provides guidance for complying with HIPAA, Privacy, Medicaid, Medicare, and any other federal and/or state regulations required. Proactively provides guidance to prevent or mitigate organizational risk. Drives the legal strategy to align and achieve business objectives. Conducts research into all applicable laws, rules, and regulations and assists departments with achieving and maintaining compliant processes, communications, and documentation. Coordinates responses to reports of noncompliance, including investigating root causes, assisting with corrective action plans, and documentation. Coordinates with internal departments to monitor compliance to CMS regulations. Works with departments and staff to close any identified gaps or risks. Collaborates in the development and maintenance of the governance of the contracting review process and advises on contractual obligations. Works independently and as a team member, as applicable, to fulfill the functions and objectives of the position. Supports and works closely with supervisor to ensure the position’s responsibilities are accomplished with precision, thoroughness, and consistency. Assists with creating and maintaining policies and procedures. Assists with ensuring the fulfillment of accreditation requirements and associated policy and procedure (P&P) documentation and processes. Assists with the submission of applications, contracts, and supporting documents for government programs and other enrollments and registrations. Assists with the submission of applications, contracts, and supporting documents for payer networks. Utilizes, maintains, and updates various regulatory tracking documents and tools. Assists the specialty pharmacy in responding to audits and surveys. Demonstrates the behavioral and technical competencies necessary to effectively complete job responsibilities. Takes personal initiative to maintain technical and professional development. Performs responsibilities as directed, achieving desired results within expected time frames with a high degree of quality and professionalism. Establishes and maintains a positive and productive work relationship with all staff and customers. Regular attendance in conformance with the standards, which may be revised from time to time, is essential to the successful performance of this position. Actively participates and provides support as needed to leadership and quality program staff to ensure activities related to the company’s quality management program and quality improvement activities maintain priority focus and are effectively executed. Promote objective and systematic measurement, monitoring, and evaluation of services and defined Quality Improvement Projects (QIPs) that may result from such efforts. Complies with the company’s Human Resources policies, Employee Handbook, Code of Conduct, and all department policies and procedures, including protecting confidential company, employee, and customer information; attending work punctually and regularly; and adhering to good safety practices in all activities. Performs miscellaneous job-related duties and special projects as assigned.

Qualification and Experience Qualifications: JD Degree. Member in good standing of at least one U.S. state Bar. 2+ years of experience for a healthcare provider or services company, or similar role in a reputable law firm. Experience in contract drafting and negotiations Experience with contract lifecycle management, including drafting, redlining, and negotiating contracts as well as post-execution contract administration. Knowledge of HIPAA compliance and healthcare data privacy. Knowledge of Medicaid, Medicare, HIPAA, FTC, and other relevant federal and state laws and regulations. Ability to interpret regulations and provide organizational guidance; Ability to incorporate relevant provisions in the Company’s contracts. Ability to consistently work with confidential and proprietary materials and strictly maintain confidentiality Excellent basic language and writing skills. Strong technical, organizational, and analytical skills with ability to problem solve. Exceptional, careful, and thorough attention to detail. Ability to readily grasp new concepts, systems, and methods. Ability to work independently and as an integral part of a team. Ability to think actively, i.e., to question, examine, evaluate, reach conclusions, and propose solutions. Excellent time management skills with ability to prioritize and handle multiple tasks and projects concurrently. Project management skills. Ability to work well under pressure with frequent interruptions and shifting priorities. Strong skills in research and analysis. Ability to compose and edit a range of technical, procedural, and communications documents and other written materials. Flexible and well-developed interpersonal skills including the ability to interact professionally and effectively with all employees and customers. Ability to deal tactfully with diverse people, situations, and viewpoints. Proven ability to communicate effectively, both verbally and in writing. Technical proficiency in PC software, especially Microsoft Office, including Outlook, PowerPoint, and Excel; SharePoint experience preferred. Sensitive to employee, customer, client, and vendor needs and data. Scheduling flexibility and ability to work overtime.
