Legal Assistant/Paralegal The candidate acts as a key member of the Business Development/Consulting Department by providing support for business design and organization, legal entity consulting, succession planning, equity protection, and compensation modeling. Entail a significant amount of research of federal, state, and local laws and the ability to analyze and apply information. Supports and works directly with the Business Development/Consulting Team in providing guidance to clients on business design and organization, legal entity consulting, succession planning, equity protection, compensation modeling, and related issues. Conducts legal research and gathers relevant information to the client’s circumstances. Analyzes research and provides information to Business Development/Consulting Team to utilize when consulting with clients. Responsible for obtaining baseline information from clients and other due diligence materials, such as Legal Entity Operating Agreement or Articles of Incorporation, Buy/Sell Documents, Restrictive Covenant Agreements, Equity Agreements, Employment Agreements, and Independent Contractor Agreements. Responsible for note-taking and the organization of information obtained during client calls and meetings. Responsible for calendar management for the Business Development/Consulting Team, including scheduling and confirming appointments. Tracks all deadlines for the Business Development/Consulting Team and ensures deadlines are being met. Responsible for reviewing, formatting, and proof-reading documentation and correspondence prior to submission to clients. Maintains client records and documentation by obtaining, organizing, and maintaining client information, forms, and documents. Composes and types client correspondence and documentation. Tracks billable hours and generates reports for clients. Responsible for managing and coordinating all administrative functions for the Business Development/Consulting Team. Prepares client presentations as needed. Provides support with special projects. Exercises best judgment and takes initiative to solve client inquiries, concerns, and issues that arise in the workplace. Completes special projects by clarifying project objective, setting timetables and schedules, conducting research, and developing and organizing information. Interacts and supplies information to other departments within the organization on a regular basis. Assists with the day-to-day efficient operations of the Business Development/Consulting department. Protects organization’s value by keeping information confidential.
Qualification and Experience
The candidate Should preferably have Bachelors Degree in Human Resources or Business. Must have 1-2 years of related experience and/or training; or equivalent combination of education and experience. Experience with FINRA and SEC regulations is desired. Intermediate knowledge in MS Office is required.
