The Team

Nasdaq’s Office of General Counsel within the Legal & Regulatory Department is focused on providing the highest quality legal support to all aspects of our business. We are looking for an energetic and enterprising individual to lead our global legal entity compliance function. In this role, you will be part of a team of 200+ legal, compliance, surveillance and regulatory professionals located in the U.S. and Europe, working closely with the business units that we support.

  • Serve as the central coordinator for Legal Entity Management (“LEM”) processes and procedures for 140+ legal entities globally.
  • Ensure compliance with domestic and international corporate governance requirements, as applicable.
  • Manage the implementation and maintenance of a web-based LEM database, including liaising with other Nasdaq departments on use of the system, updating and maintaining the database to ensure accuracy and completeness, overseeing the training of system users and developing reports to allow users to maximize the effectiveness of the system.
  • Draft entity formation documents, board and committee resolutions, minutes, secretary’s certificates, incumbency certificates, powers of attorney, delegations of authority and other corporate governance documents.
  • Respond to requests from directors, officers, regulators and internal staff on LEM matters.
  • Assist in all aspects of the LEM process for Nasdaq subsidiaries.
  • Maintain global compliance calendar and organizational chart.
  • Coordinate and distribute signature requests to executives for signatures on corporate governance documents.
  • Obtain apostilles and other legalized documents.
  • Maintain corporate minute books and other corporate records.
  • Manage relationships with external LEM service providers.
  • Project manage strategic projects with other legal professionals and internal stakeholders, particularly in relation to acquisitions, dispositions and entity rationalization.
  • Make recommendations on technology and process improvement opportunities.
  • Special projects, as needed.
  • Some corporate legal education or training preferred. 
  • 3+ years of experience, preferably at a law firm or in a large, in-house legal department.
  • Familiarity with general corporate governance and compliance requirements.
  • Excellent verbal, written, and interpersonal skills and superior attention to detail and accuracy.
  • A high level of professionalism and outstanding business judgment.
  • Ability to work independently and prioritize work/tasks.
  • Skilled in problem solving and analytical reasoning.
  • Proficient in the use of Microsoft Office (Word, Excel, PowerPoint); ability to learn new technology.
