The candidate's duties include: drafting and reviewing organizational documents, including articles of incorporation or dissolution, stock certificates, and merger agreements; drafting contracts, such as non-compete agreements; creating and distributing annual reports; preparing and filing UCC financing statements; preparing summaries of corporate statutes; assisting with due diligence, including preparing, reviewing, and commenting on due diligence documents, due diligence document inventories, and disclosure schedules; maintaining client minute books and stock ledgers; preparing and filing documents with government agencies, such as the SEC, IRS and Secretaries of State of multiple jurisdictions; obtaining EINs; overseeing the contract process, including planning, collaboration, negotiation, and execution. Should have 5-10 years of experience and an ABA-approved paralegal certificate.
