Attorney, Commercial Contracts The candidate is primarily responsible and accountable for drafting and negotiating a variety of commercial contracts, with a particular emphasis on revenue-generating contracts with our customers, under the guidance and direction of senior members of the Legal & Risk Management department. In addition to the drafting and negotiation of customer-facing commercial contracts, the Attorney, Commercial Contracts will also draft, negotiate and close a variety of vendor contracts and will provide legal support to the Company’s operations and marketing departments. Will have frequent interactions with internal stakeholders across multiple business units and functional groups and will be responsible for ensuring that all contracting processes are followed, including obtaining and documenting any approvals required in connection with each contract. Responsible for facilitating the resolution of business and legal issues and formulating recommendations using analysis, creativity and the development of new approaches to enable contract execution while safeguarding the Company and creating a positive customer experience all in accordance with Company policies and procedures. Will participate in and contribute to the development and on-going review of relevant processes, guidelines and procedures relating to the Company’s commercial contracting activities.

Qualification and Experience

A J.D., LL.B or foreign equivalent required. Should have 1 – 3 years mid to large law firm experience working on complex commercial transactions and/or 2 – 3 years in-house experience negotiating commercial contracts for a global corporation (preference for healthcare or technology). Should have contract management expertise, excellent leadership, communication and customer service skills, substantive experience drafting and negotiating commercial contracts while maintaining strong, vibrant internal and external client relationships. Healthcare and/or technology licensing/information technology services experience preferred. Experience with Master Service Agreements is desirable. Must have superb legal drafting skills, with affinity for using language to achieve compromise. Should have ability to analyze complex business and legal issues/risks in order to advance practical solutions.
