Paralegal-Legal Assistant
The candidate's duties will include: To assist in the review and revision of client and vendor contracts. In certain cases, must be able to follow the contract process from start to finish. Manage and organize multiple versions of legal documents and contracts. Handle international and domestic subsidiary corporate governance matters, including drafting resolutions, consents without meetings, and supporting documents. Draft entity formation documents, including articles of formation, operating agreements, resolutions, EIN procurement, and other related forms. Assist in maintaining the status of ongoing legal projects. Experience with general contract drafting and proofing. In coordination with the General Counsel, review and advise on legal updates related to various laws pertaining to the business. Maintain and organize corporate governance calendar, diligence files and legal database. Support corporate records retention, and organize and maintain documents in paper and electronic document retention system(s). Experience in transaction work and deal closing a plus, including merger and acquisitions and real estate transactions. Support the staff with administrative support, as needed.

Qualification and Experience

The candidate should have a demeanor conducive to good relations with multiple stakeholders; Must be able to effectively collaborate with internal teams and external agencies to drive results. Should have Associate Degree with a Paralegal Certificate or High School Diploma with Paralegal Certificate. Bachelor’s Degree preferred. Must have at least 3 years of paralegal experience with a focus on corporate transactional matters in a corporate or law firm environment. Should have strong interpersonal and communications skills (verbal and written) are required. Must be detail-oriented and be able to organize information logically and efficiently. Extensive skills and experience working with Microsoft Office Suite (Word, PowerPoint, Excel, Outlook) required. Experience with contract management and subsidiary management databases preferred.
