A law firm in Princeton, NJ, is seeking a highly skilled Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and investment management. The ideal candidate will have substantial experience representing private equity sponsors and/or agents across a wide range of transactions. This role requires a creative, solutions-oriented approach with excellent analytical and writing skills. Candidates must be licensed and in good standing to practice law in the state of New Jersey.

Duties and Responsibilities:

  • Advise clients on complex legal matters related to investment funds, including private equity, venture capital, and hedge funds.
  • Represent private equity sponsors and agents in various transactions, such as fund formation, capital raising, and investment structuring.
  • Draft, review, and negotiate key legal documents, including partnership agreements, subscription agreements, and offering memoranda.
  • Conduct thorough legal research and provide detailed reports, memoranda, and other legal documents.
  • Assist in structuring and negotiating investment transactions, including mergers and acquisitions, joint ventures, and strategic investments.
  • Ensure compliance with relevant securities laws and regulations governing investment funds and private equity.
  • Collaborate with colleagues and clients to develop and execute effective legal strategies.
  • Stay informed about legal and regulatory changes affecting investment funds and private equity.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Demonstrated experience representing private equity sponsors and/or agents in various transactions.
  • Ability to handle complex legal issues related to investment funds and private equity.
  • Creative and solutions-oriented mindset with strong analytical and problem-solving skills.
  • Exceptional writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of New Jersey.

Skills:
