Corporate Counsel The candidate will be responsible for providing assistance in legal counsel to all offices, subsidiaries and/or related companies. Assists in advising Corporation concerning various transactions and issues of construction business and administration. Participates in the resolution of legal and business strategy issues. Assists in the definement and development of policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of assigned areas. Review project procurement documents and assist with proposal legal review. Assist with the development of training and/or presentations on contract law, employment law, and other construction related legal issues. Assists in managing outside legal counsel to defend or prosecute claims. Drafts and/or oversees the development and preparation of legal documents for corporate use, including sales, acquisitions and other legal issues. Assists in contract negotiations with Owners and Subcontractors. Assists in representing the Corporation in judicial and other alternative dispute resolution forums, including regulatory and/or government agencies. Assists in preparing and coordinating statements/pleadings and discovery responses in legal proceedings. Research and prepare appropriate and effective draft legal opinions, memos, and other documents. Help advise the Corporation concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations. Assist in interpreting laws, rulings, and regulations for relevance and help the Corporation prepare clear and effective policies and practices to minimize legal risk. Help gather and prepare evidence to formulate defense or to initiate legal actions, by such means as interviewing clients and witnesses to ascertain the facts of a case to defend the organization in civil litigation. Implement litigation hold memos. Help judge the merits of major claims (insured and uninsured) filed against or on behalf of the Corporation, and work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Assist with the implementation, renewal and ongoing administration of risk management programs including traditional insurance, contractor controlled insurance program (CCIP), subcontractor default insurance (SDI), payment and performance bonds, etc. Assist in initiating or implementing additional duties, as directed by the General Counsel, President or EVP to meet the needs of the Corporation, its subsidiaries, and/or related companies. Bachelorâ€™s Degree (Architecture, Engineering, or Construction preferred) /Juris Doctor Degree is essential. Must have 3-7 years of experience in a law firm or company involved in construction industry. Law license in State of domicile is essential. Should have general experience and working knowledge of the construction industry. Must have experience negotiating agreements.
