Job Overview:
A law firm is seeking an experienced Senior Corporate Attorney specializing in Venture Capital and M&A transactions to join their team. The ideal candidate will have a deep understanding of corporate law and venture capital, with the ability to advise emerging startups on various legal matters, including equity allocation, funding strategies, and governance. This role offers the opportunity to handle sophisticated legal transactions while contributing to the firm’s growth and success.

Location:

  • Madison, Wisconsin

Duties:

  • Counsel emerging startups on early-stage issues such as founder control, equity allocation, funding strategies, stock options, and employment/consulting matters.
  • Prepare and negotiate Series AA through Series G investment-related agreements and documents.
  • Advise companies on corporate governance and fiduciary duty matters.
  • Prepare stockholder agreements, employment, consulting agreements, and equity grant agreements.
  • Negotiate and draft asset purchase, stock purchase, and ancillary agreements for company sales.
  • Maintain knowledge of tax, intellectual property, employment, privacy, and related matters arising in venture capital and M&A transactions.
  • Lead and mentor team members working with emerging technology-based companies.

Requirements:

  • At least 10 years of experience as a practicing attorney, with a focus on Delaware corporate law, M&A, and corporate transactions.
  • Minimum of 5 years of experience in venture capital transactions.
  • Excellent drafting, negotiation, and business acumen.
  • Strong leadership and team management experience.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to a state bar and in good standing.

Skills:

  • Expertise in venture capital transactions, M&A, and Delaware corporate law.
  • Ability to advise startups on corporate governance, equity structures, and fiduciary duties.
  • Proficient in preparing and negotiating various corporate agreements, including stockholder, employment, and purchase agreements.
  • Strong ability to lead teams and mentor junior associates.
  • Deep understanding of regulatory and tax matters related to corporate transactions.
