Senior Corporate Counsel, Commercial The candidate will support various departments and initiatives, with primary emphasis on supporting the companyâ€™s global sales organization. Will negotiate and draft master subscription services agreements and other commercial agreements with customers in support of the North America and APAC Sales and Professional Services organizations. Provide legal and commercial support in support of existing customer relationships. Partner with sales operations, revenue accounting, information security, technology operations, and other stakeholder teams to ensure agreements align with internal policies, operations, and processes. Structure, draft, and negotiate partner agreements in collaboration the channels and alliances team. Draft and negotiate a variety of procurement agreements. Actively contribute to the commercial legal team in the ongoing development of skills, knowledge, and efforts to scale. Must have a JD degree and 5-9 years of combined experience in law firm and/or in-house legal department. Should have 3+ years of negotiating and drafting technology agreements, including experience supporting quota-carrying, enterprise level sales teams. Must have experience with issues pertaining to SaaS agreements, technology licensing, data security and privacy, and intellectual property. Experience in and/or knowledge of enterprise software industry, including US revenue recognition, especially in SaaS is required. Experience working with global businesses including both US and non-US based global businesses is needed. Experience with privacy and information security is desired.
