ProfileSenior Counsel Responsibilities: Draft, negotiate, and provide legal advice and support with respect to project agreements, including take-or-pay sales contracts, shipping contracts, port services contracts, construction contracts, and rail transportation contracts. Support sales and development team in negotiations with customers, investors, and development partners primarily in Japan, potentially also supporting efforts in South Korea and elsewhere in Asia (or Europe). Draft, negotiate, and provide legal advice and support with respect to M&A transactions and joint ventures in Asia, especially Japan. Identify and analyze legal issues and risks, review and draft legal agreements, and present clear recommendations in relation to the Company’s expansion into Japan (and potentially South Korea and elsewhere in Asia). Coordinate with outside counsel retained for litigation and other disputes. Coordinate with the legal team in establishing the Company’s legal policies, goals, and objectives. Over time, exercise leadership over varied legal aspects of the Company’s expansion into Japan (and potentially South Korea and elsewhere in Asia).
Qualification and Experience
Requirements: Japanese fluency required. JD Degree or LL.M. from an accredited law school. Licensed to practice in at least one U.S. jurisdiction. 2+ years of contracts experience with an international law firm drafting, negotiating and providing legal advice with respect to project agreements, including take-or-pay sales contracts, shipping contracts, port services contracts, construction contracts, and rail transportation contracts. Strong competency in drafting and negotiating a broad range of commercial contracts. Desired Experience: Experience in the traditional or renewable energy space. M&A transactional and joint venture experience. Maritime experience is a plus. Ability to work under pressure, manage multiple projects with competing priorities, meet deadlines, and adapt to change within a growing company. Ability and desire to work on international commercial transactions, particularly in Japan but also in South Korea and elsewhere in Asia. Strong interpersonal, communication, relationship and consensus-building skills. Willingness to eventually relocate to Enviva’s Tokyo office. Demonstrated experience establishing credibility and rapport with senior legal team members and company management. Exceptional attention to detail. Ability to bring practical and commercially-oriented judgment to bear in solving legal problems. Proficiency in communicating with commercial team members in a clear yet practical, commonsense manner; i.e., a businessperson’s lawyer rather than a “lawyer’s lawyer.” Interest and aptitude in becoming a corporate generalist. Have a “roll up your sleeves” approach and mindset. Collaborative and a true team player.
