ProfileParalegal The candidate collects information and prepares drafts of securities filings for public and private security offerings for publicly-held companies for attorney review. Prepares resolutions and maintains minute books subject to attorney supervision. Maintains a follow-up system for corporate matters such as dates of annual minutes, state reporting requirements and securities filings. Reviews contract and sale documents for terms and conditions. Prepares for and attends closings of transactions, including drafting of closing checklist and memoranda; organization of documents and necessary exhibits, notaries, and signature blocks; file organization; preparation of closing binders and handling of post-closing items. Documents secured transactions involving personal property, including necessary searches, filings, recording and notices. Prepares drafts of loan documents, including promissory notes, deeds of trust, corporate borrower resolutions and partnership borrower authorizations, certificates required by lender, UCC-Financing Statements, assignment of leases, tenant estoppel certificates and notices regarding leases, and security agreements for attorney review. Maintains form files. Collects information and prepares drafts of documents necessary to effect dissolutions, liquidations, mergers. Qualifies corporations to do business in foreign jurisdictions. Subjects to attorney supervision, collects information and prepares documentation necessary to form corporations, including articles of incorporation, by-laws, minutes, and federal state exemption applications; corporations, limited liability companies and partnerships, including articles of incorporation, by-laws, minutes or organizational meetings, stock restriction agreements, employee contracts, assumed name statements, and statements of partnerships. Handles maintenance of corporations, including minutes of annual and special meetings, amending by-laws, and amending and restating articles of incorporation. Checks and reserves corporate and assumed names. Must have a Bachelor's degree. Should have 5+ years of paralegal experience with a public company or with a law firm with broad exposure to and understanding of all practice areas. Must have strong verbal and written communication skills. Should have proficiency in Microsoft office suite, with emphasis on outlook, word, excel and power point. Proficiency with on-line research services and solid database research skills required. Must have ability to use Edgar for sec filings.
