General Counsel The candidate responsible for leading corporate strategic and tactical legal initiatives to reduce Agency liability from legal threats. The role will partner with senior management on executing the company’s vision, goals, and strategic growth opportunities by providing effective legal guidance on their implementation and structure. The general counsel will manage the legal function and obtain and oversee the work of any outside counsel as well as being directly involved in complex business transactions and contracts. Provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serves as key lawyer/legal advisor on all major business transactions, including acquisitions and joint ventures. Participates in the definition and development of corporate policies, procedures and programs. Structures and manages the company’s internal legal function and staff. Oversees the selection, retention, management and evaluation of all outside counsel. Anticipates and guards against legal risks. Manages legal matters pertaining to the company. Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities. Creates new entities and manages organization's intellectual property. Maintains knowledge of organization’s operations and legal documents. Examines and creates agreements, such as Employment, Client, Media and Vendor agreements. Manages, reviews, and supports negotiations of critical contracts including: Clients: Master Service Agreement, Statement of Work, Media Authorization Forms. Collaborates with the media team on partner agreements, tools and Vendor agreements. People Operations: Contractor agreements and HR documentation. Implements data privacy internal policies and agreements with clients and third-party vendors.

Qualification and Experience

The candidate must be experienced in privacy laws regarding PII, GDPR, Privacy Shield, California’s Consumer privacy law. J.D degree is required. 8+ years in corporate or legal firm practice is needed. Should have 5+ years’ experience with Tech, Marketing and or Digital Advertising companies. Must have proficient legal experience in fund investments, venture capital financing and M&A. Knowledge of statutes, rules and regulations pertaining to businesses is required. Should have proficient understanding of business sensitivities and confidentiality. Customer/Client Focus are required.
