Contracts Specialist The candidate will assist in reviewing and negotiating Iron Mountainâ€™s contracts with its customers; assist the Operations Contracts team in developing standards and processes to support appropriate controls and management of contract risk; and assist in development of standard and non-standard contract language. Review, evaluate and recommend alternative contracting strategies with respect to customer requests for modifications to the companyâ€™s standard contract language including contract modification and preparation of contract amendments. Review, negotiate and modify fully customized forms of contracts presented by potential customers, all in accordance with company policies and procedures in effect at the time. Draft, negotiate, manage and close complex contracts with customers of the Intellectual Property Management Division. Assisting department in developing strategy and implementing programs for the Department that will ensure that the Contracts Team is adequately positioned to successfully support the contracting function for North America. Preparing contracts and amendments to improve contract protection or relating to new service and/or product offerings, as well as related agreements. Assist in supporting the fieldâ€™s initiative in improving the quality of contracts and thereby minimizing the companyâ€™s risk and exposure. Assist in promoting adherence to company policy relating to the Contract Repository program. Such other and further responsibilities as may be designated by the Director of North American Contracts from time to time. Assist the field in contract negotiations. Reviews and assists in negotiating with customers and their legal advisors (in conjunction with sales management and/or executive management) any non-standard contracting language requirements within established policy limits, when necessary or appropriate. Drafting of appropriate standard contract forms (or revisions thereto) as required, subject to approval in accordance with departmental policy. Maintain negotiation files for customers with non-standard agreements or incorporate non-standard contract language. Communicate effectively with stakeholders throughout the negotiation process to secure necessary approvals with respect to non-standard requests outside of defined policy guidelines. Assist in the development of appropriate reports needed internally within the Department and as may be appropriate for departments serviced by the Legal Department. Negotiate and approve non-standard contract terms in accordance with established policies and limits. Assist in developing and training personnel regarding contracting policies and procedures and general contracting implications. Needs to be able to review documents, participate in conference calls, and edit electronic documents. Must have JD degree and active Bar membership. Should have 0-2 yearsâ€™ work experience reviewing and negotiating contracts. Basic knowledge of intellectual property law, computer law and privacy law is helpful. Ability to read and understand legal documents is needed. Must be intelligent, articulate and computer literate. Good communication skills (written and verbal), good negotiating skills is must. Communicate and negotiate effectively; and operate a variety of PC-based software including word processing is essential.
