Associate Counsel
Duties: Provide legal support for general business and investment management activities. Participate in drafting and negotiating investment management agreements, side-letter agreements, third-party vendor contracts, trading agreements (including MSFTAs and derivatives agreements), and fund documentation (including private placement memoranda). Be familiar with and participate in general and corporate legal areas including governance, tax, and shareholder administration. Interface with internal business units and advise on legal and regulatory matters. Coordinate, analyze, and complete documentation relating to class action and other legal proceedings that may impacts clients and/or IR+M. Conduct research on statutes, rules, regulations, and laws impacting IR+M’s business, and provide practical interpretation to business units. Monitor regulatory developments, legislative arena, and enforcement actions, and provide legal analysis relating to the same. Aid the Investment Team with prospectus review. Active involvement in SEC Exam preparation. Review work performed by peers and other professionals across departments.

Qualification and Experience

Qualifications: Bachelor’s Degree is required. JD Degree is required. 7+ years of industry experience. 2+ years of attorney in-house experience. Strong problem-solving skills. Strong oral advocacy for a collaborative environment. Strong writing skills. Strong understanding of best practices in legal, regulatory, fund, compliance and administrative matters. A high degree of organization and ability to troubleshoot problems. Strong analytical and computer capabilities. Commitment to excellence and accuracy. Demonstrated ability to lead team projects.
Desired Skills: General understanding of laws relating to corporations and investment management activities. Understanding of securities laws, particularly Investment Advisers Act of 1940, as amended. Knowledge of private fund structures and documentation. Registered investment adviser experience with a focus on fixed income. Professional training (Emotional Intelligence, Time Management, Unconscious Bias, General Team Management training).
