Senior Paralegal The candidate will draft amendments to professional service agreements, consulting agreements, vendor contracts and wide variety of commercial contracts. Will prepare first drafts of various types of commercial contracts for attorney review. Prepares and negotiates vendor contracts, consulting agreements, services agreements, business associate agreements and various commercial contracts and involves attorneys, as necessary. Conducts research on relevant laws, regulations, and legal articles, as requested. Manages due diligence process for various corporate transactions including mergers, acquisitions, bond refinancings and regulatory investigations. Drafts articles of incorporation, bylaws and amendments for firm's Board of Directors, its subsidiary boards of directors and its operating unit’s boards of trustees and makes the appropriate fileings with the Secretary of State. Drafts resolutions, minutes, notice of meetings and affidavits of mailing and agendas for regular, annual or special meetings of the Board of Directors or Shareholders. Supervises the preparation of corporate annual reports for firm's and its subsidiaries in those states in which they are registered to do business. Maintains corporate governance records for firm's and all of its subsidiaries and operating units. Provides support to firm's executives relating to the firm's Board of Directors, its subsidiary boards and operating units boards on issues of corporate formality compliance and compliance with both nonprofit corporation act and business corporation act. Receives and responds to questions from firm's departments including, but not limited to Tax, Reimbursement, Payroll, Information Services and Executive on issues of corporate governance, contracting and tax matters and determines when an attorney is needed for resolution of those issues. Keeps corporate organizational chart current. Draft response to auditor's request for information for general counsel's approval and signature. Maintain a tickler system for annual meetings for firm's subsidiaries. Performs name availability searches for new business names and programs, interprets results as to availability and drafts appropriate documents for filing with Secretary of State's office. Completes and files applications for employer identification numbers, workers' compensation, tax registration and for appropriate licenses to operate specific businesses. Responsible for general corporate projects as assigned by attorneys for clients throughout firm's organization. Acts as a contact for problem solving for internal firm's organization clients; i.e., Tax, Reimbursement, Information Services, Accounts Payable, Accounting, Finance/Treasury, etc. Serves as Law Department interface with vendors, consultants, law firms and other third parties on various matters relating to corporate law, commercial litigation and Law Department infrastructure. Assists with development and maintenance of standardized contract management system; which may include optimizing current systems, but could also include assistance with sourcing and implementing additional contract management platforms. Maintains corporate law expertise by attending continuing educational seminars, and reading literature pertaining to corporate law area. Maintains current and gains new system-wide knowledge of operational units and their specific work products/services. Demonstrates commitment to overall success of firm's, as evidenced by teamwork, positive client relationships, and knowledge of organization. Exercises independent judgment to determine if situations involve more routine issues that may not require supervision of attorney or whether issues are complex matters that should be reviewed by an attorney. Responds to requests for information about and interpretation of contracts (i.e., explaining the meaning of various provisions) and risks associated therewith. Carries out other work assignments from attorneys, within the Department, including legal research and analysis, document and other legal material review and conducting factual investigation of potential disputes or problems. Should have Paralegal certification. Bachelors degree preferred. Must have 7 years of relevant paralegal experience.
